I. GENERAL INFO<\/strong><\/p>\n\n\n\n

\u201cClient\u201d refers to any natural or legal person requesting the services of Stelly F-C for illustration, 2D animation, motion design or video editing.<\/p>\n\n\n\n

\u201cThird Party\u201d refers to any natural or legal person that is in no part of the contract.<\/p>\n\n\n\n

\u201cService Provider\u201d refers to Stelly F-C, a sole-trader business owned by Cha\u00efla CREZE, 2D animator, illustrator and motion designer.<\/p>\n\n\n\n

The Client must read these Terms of Service (\u201cTOS\u201d) prior to placing any commission (the \u201ccommission\u201d). The TOS are available on the following website: www.stelly-fc.com.<\/p>\n\n\n\n

The Service Provider reserves the right to amend or update the TOS at any time. The version applicable to any sale is the version published on the Website at the date the commission is requested.<\/p>\n\n\n\n

By commissioning Stelly F-C, the Client acknowledges having read and unconditionally accepted these TOS, as well as the warnings contained in the extract of French Law No. 57-298 of 11 March 1957 relating to artistic property and copyright. The Client shall confirm such acceptance by ticking the box \u201cI accept the terms of service available on stelly-fc.com\"<\/a> when signing a quotation, or by expressly confirming acceptance by email where no quotation is required. The Client may print these TOS at any time or request a copy by email from the Service Provider.<\/p>\n\n\n\n

<\/div>\n\n\n\n

II. CLIENT\u2019S RESPONSIBILITIES<\/strong><\/p>\n\n\n\n

The Client agrees to provide accurate and truthful information and to notify the Service Provider of any changes to such information. The Client shall be solely responsible for any issues arising from inaccurate or incomplete information. The Client must maintain a valid email address for the duration of the contract.<\/p>\n\n\n\n

III. COMMITMENTS OF THE PARTIES<\/strong><\/p>\n\n\n\n

In general, the Client and the Service Provider agree to collaborate actively to ensure the proper fulfilment of the contract. Each party agrees to inform the other of any difficulty encountered throughout the making of the commission so that appropriate measures may be taken to protect the integrity of the project.<\/p>\n\n\n\n

3.1\tTo enable the Service Provider to fulfil their obligations, the Client agrees to :<\/p>\n\n\n\n


-Provide specifications which shall not be modified after approval by the Service Provider except with mutual agreement. Any modification requiring substantial alterations to the specifications shall be charged in addition to the initial quotation.<\/p>\n\n\n\n

-Return the quotation\/purchase order (dated and signed ; by email).<\/p>\n\n\n\n

-send all audiovisual, graphic and textual elements necessary for the good fulfilment of the contract, in appropriate and usable formats depending on the intended media. The Client is responsible for providing all legally required information and for supplying all content to be included in the commission.
-Insure that they hold all necessary rights to the elements provided. Only the Client shall bear liability in this regard.
Stelly F-C reserves the right to refuse an order where supplied elements are of insufficient quality for illustration or video production.<\/p>\n\n\n\n

-The Client agrees to actively to the success of the project by sending to the service provider within appropriate timescales all information and files necessary for the right apprehension of needs and right execution of production.
-Comply strictly with technical and creative recommendations issued by the Service Provider
-Indemnify the Service Provider against any claims arising from the nature of information or elements (text, images, audio) supplied or selected by the Client.
-Pay all amounts due within agreed deadlines.
-Inform the Service Provider if the project is being put out to competitive tender with other providers.<\/p>\n\n\n\n

3.2 In need, the service provider shall be able to intervene in the drafting of specifications, collectively with the Client.
-The service provider guarantees that the creations produced are legally available and free from third-party rights, employee or not of the provider, for the intended uses defined under the contract.
- The service provider agrees to keep the Client informed of project progress through regular updates and submissions for approval by the Client.
- In accordance with confidentiality and during the term of the contract and even after its cancelation for any reason that is, the service provider maintains strict confidentiality in respect of all information and documents of any kind relating to the Client in which they had access during the production of the project
-The service provider promises to deliver the commission within the timeframe specified in the signed quotation.<\/p>\n\n\n\n

<\/div>\n\n\n\n

IV. EXTRA CHARGES<\/strong><\/p>\n\n\n\n

Any external elements required for the execution of the service by the service provider and not related to their offers are not included in the standard prices. This includes, for example, typefaces, photographs, videos or illustrations from asset libraries.\nAdditional charges apply to any modifications requested by the Client after completion of the contract where such modifications require reworking of the project (\u201cauthor\u2019s corrections\u201d).\nTextual content that enables the production of the project must be provided by the Client.<\/p>\n\n\n\n

V. PRODUCTS<\/strong><\/p>\n\n\n\n

Quoted prices are firm and final. Prices stated in the quotation agreed between the Client and the Service Provider shall apply.<\/p>\n\n\n\n

5.1 Prices for illustrations are determined according to the Client\u2019s status (private individual or business), the format required, and the complexity of the requested artistic style.<\/p>\n\n\n\n

5.2 Prices for video editing, motion design and 2D animation are determined according to production time based on a daily rate agreed between the parties.<\/p>\n\n\n\n

VI. ORDER CONFIRMATION AND BEGINNING OF WORK<\/strong><\/p>\n\n\n\n

The quotation and the TOS accepted by the Client (by email or in writing) together constitute the binding order form. If the total price is under 100\u20ac, the client must pay the total at the confirmation of the order. If it is above that same amount, a deposit must accompany the order.\nWork shall begin once all required documentation (accepted quotation and TOS, deposit payment) and all necessary graphic and textual elements have been received by the Service Provider.<\/p>\n\n\n\n

Any payment received without a signed quotation or TOS shall constitute acceptance of both documents.<\/p>\n\n\n\n

VII. APPROVAL PROCESS<\/strong><\/p>\n\n\n\n

7.1 Due to the nature of the work, the Service Provider may submit drafts of illustrations and\/or videos for Client approval. These drafts do not constitute final deliverables. One or two rounds of revisions may be required; however, such requests must remain reasonable.<\/p>\n\n\n\n

7.2 If the Client does not submit approval or request modifications within fifteen days of receiving the drafts, they shall be deemed approved by both parties.\nOnce the work has been delivered and tacitly approved, all related fees become due.<\/p>\n\n\n\n

VIII. INVOICE AND PAYMENT<\/strong><\/p>\n\n\n\n

Unless otherwise an extra payment delay is agreed and expressly stated by the Service Provider and the client, the deposit is payable upon acceptance of the quotation. Payment is made by bank transfer to Cha\u00efla CREZE. The balance outstanding from the invoice must be payed upon delivery of the finished commission. In the event of delayed payment, statutory penalties shall apply, without a necessary recall in compliance with the law.
These penalties amount to 20% of the total invoice per day of delay. In the event of non-payment, the Client shall bear all debt recovery costs.<\/p>\n\n\n\n

IX. DEPOSIT AND CANCELLATION<\/strong><\/p>\n\n\n\n

If the Client cancels the contract before completion, they undertake to strictly adjust and pay all amounts due for completed or ongoing work and any additional services rendered.\nAll copyright remains the exclusive property of the Service Provider, excluding elements supplied by the Client. Source files and working files created by the Service Provider may not be claimed by the Client without a financial contribution. Drafts and all original works remain the property of the Service Provider, including rejected projects. Any payments already made shall remain with the Service Provider as compensation for work commenced.<\/p>\n\n\n\n

X. DELIVERY<\/strong><\/p>\n\n\n\n

Stelly F-C shall deliver the completed work by email within the agreed contractual timeframe. It is agreed by both parties that the payment of all fees by the Client shall constitute final acceptance of the commission.<\/p>\n\n\n\n

<\/div>\n\n\n\n

XI. INCAPACITY TO WORK<\/strong><\/p>\n\n\n\n

In case of unability to work due to illness or accident, the service provider reserves the right to modify the agreed schedule. The Client shall not be entitled to claim compensation in such circumstances. The Service Provider shall notify the Client on the first working day of their incapacity.<\/p>\n\n\n\n

<\/div>\n\n\n\n

XII. FORCE MAJEURE<\/strong><\/p>\n\n\n\n

Stelly F-C shall not be held responsible if any failure or delay in performing their obligations result from a case of force majeure. In this respect, the case of force majeure includes all external, unforeseeable and irresistible event within the meaning of article 1148 of french civil law.<\/p>\n\n\n\n

<\/div>\n\n\n\n

XIII. INTELLECTUAL PROPERTY AND COPYRIGHT<\/strong><\/p>\n\n\n\n

All illustrations, 2D animations and motion design videos created by Stelly F-C are original works protected under intellectual property law.\nThe acquisition of an image in physical or digital format does not transfer exclusive ownership rights to the purchaser; use is strictly limited to private use.<\/p>\n\n\n\n

-Copyright : Unless expressly agreed otherwise, all works produced by Stelly F-C are governed by French Laws 57-298 of 11 March 1957 and 85-660 of 3 July 1985 relating to copyright.<\/p>\n\n\n\n

-Reproduction Rights : Any reproduction of works by any means is prohibited without prior purchase of the applicable reproduction rights.<\/p>\n\n\n\n

Rights are licensed alongside the digital file for the specific use defined by the Client at the time of ordering. Usage parameters such as format, medium and print run must be specified.\nRights on an illustration or video are not granted on an exclusive basis unless expressly agreed and do not permit distribution of the file to third parties, whether free of charge or for payment. Rights are transferred only upon full payment and for the use defined in the commission. Stelly F-C may refuse any use outside private use unless expressly authorised.\nThus, Stelly F-C grants usage rights for dissemination of the commissioned project but retains copyright for any exceptional reuse in other projects with these images. Any reuse shall require notification and negotiation of new copyright fees.<\/p>\n\n\n\n

XIV. DISPUTE RESOLUTION<\/strong><\/p>\n\n\n\n

This contract is governed by French law. Any dispute relating to its interpretation or fulfilment, failing amicable settlement, shall be submitted to the competent courts of Nanterre, to which jurisdiction is expressly attributed.<\/p>\n\n\n\n

Consumer mediation may be sought upon the Client\u2019s request.<\/p>\n\n\n\n

XV. REPRODUCTION AND DISTRIBUTION RIGHTS<\/strong><\/p>\n\n\n\n

Reproduction and broadcasting rights are calculated based on the dissemination of the commission. Rights may be assigned fully or partially. Each new adaptation of the original work requires a new assignment of rights. For each new edition, rights must be re-negotiated. Rights are granted within the temporal and geographical scope of the current contract and shall not exceed this limit. To allow the Client to exploit the commission within their business activities, all economic rights relating to the service provider\u2019s creation shall be transferred to the Client for the specific media defined at the time of ordering, during full payment of all fees due.<\/p>\n\n\n\n

XVI. COPYRIGHT AND CREDITS<\/strong><\/p>\n\n\n\n

Unless expressly excluded by the Client, the Service Provider reserves the right to include a commercial credit such as \u201cCreated by Stelly F-C\u201d or \u201c\u00a9 Stelly F-C\u201d, and, when technically possible, a hyperlink to the Service Provider\u2019s website.\n\tWhen the illustration, video, derivative product or poster are shared on social media, the relevant Stelly F-C account must be credited (@stelly-fc on Instagram, TikTok, BlueSky, YouTube; @Cha\u00efla Cr\u00e9z\u00e9 on LinkedIn and Facebook).<\/p>\n\n\n\n

<\/div>\n\n\n\n

XVII. PUBLICITY RIGHTS<\/strong><\/p>\n\n\n\n

By default, the Service Provider may display work completed for the Client in external communication et advertising documents (website, portfolio, etc\u2026), during commercial outreach, or at events such as exhibitions or creator markets.<\/p>\n\n\n\n
